  2.   Diamond K Software 60-Day Evaluation License Agreement

  7. THIS IS AN EVALUATION COPY OF THIS SOFTWARE. You may
  8. use this software for only sixty (60) days, after
  9. which period you must either buy the software from
  10. Diamond K Software or stop using it and remove
  11. it from your computer.
  12.  
  13. NOTICE TO ALL USERS: CAREFULLY READ THE FOLLOWING LEGAL
  14. AGREEMENT ("AGREEMENT"), WHICH SETS FORTH LICENSE TERMS
  15. FOR THE DIAMOND K SOFTWARE IDENTIFIED IN THE
  16. HEADING ABOVE ("SOFTWARE"). BY INSTALLING THE SOFTWARE,
  17. YOU (EITHER AN INDIVIDUAL OR A SINGLE ENTITY) CONSENT
  18. TO BE BOUND BY AND BECOME A PARTY TO THIS AGREEMENT WITH
  19. DIAMOND K SOFTWARE ("DIAMOND K SOFTWARE"). IF YOU
  20. DO NOT AGREE TO ALL OF ITS TERMS, DO NOT INSTALL THE
  21. SOFTWARE, OR DESTROY ALL COPIES OF THE SOFTWARE THAT YOU
  22. HAVE INSTALLED. Your right to use the Software is limited.
  23. If you have already downloaded and installed evaluation copies
  24. of this or prior versions of the Software, you may not use this Software and must
  25. immediately cease using this copy and destroy it. To
  26. obtain full-use rights, you must pay for the Software
  27. and enter a valid End User License Agreement with
  28. Diamond K Software concerning such use.

  30. 1.  License Grant. Subject to the terms and conditions of
  31.     this Agreement, Diamond K Software hereby grants to
  32.     you a non-exclusive, non-transferable right to use one
  33.     copy of the specified version of the Software and the
  34.     accompanying documentation (the "Documentation") solely
  35.     for your internal evaluation purposes during the term of
  36.     this Agreement. You may install one copy of the Software
  37.     on one computer, workstation, personal digital assistant,
  38.     pager, "smart phone" or other electronic device for which
  39.     the Software was designed (each, a "Client Device").
  40.  
  41.     a.  Single Use.  The Software is a single product; it may
  42.         not be used on more than one Client Device or by more
  43.         than one user at a time. The Software is "in use" on
  44.         a computer when it is loaded into the temporary memory
  45.         (i.e., random-access memory or RAM) or installed into the
  46.         permanent memory (e.g., hard disk, CD-ROM disc,
  47.         or other storage device) of that Client Device.

  50.      2.  Term. This Agreement is effective for sixty (60)
  51.     days following the date you installed the Software
  52.     unless you or Diamond K Software terminates the
  53.     Agreement earlier in accordance withe the terms
  54.     set forth herein. This Agreement will terminate
  55.     automatically if you fail to comply with any of the
  56.     limitations or other requirements described herein.
  57.     Upon termination, you must destroy all copies of the
  58.     Software and Documentation. You may terminate this
  59.     Agreement at any point by destroying the Software
  60.     and Documentation together with all copies of the
  61.     Software and Documentation.

  63. 3.  Ownership Rights. The Software is protected by United
  64.     States copyright laws and international treaty
  65.     provisions. Diamond K Software and its suppliers own
  66.     and retain all right, title and interest in and to the
  67.     Software, including all copyrights, patents, trade
  68.     secret rights, trademarks and other intellectual
  69.     property rights therein.  You acknowledge that your
  70.     possession, installation, or use of the Software
  71.     does not transfer to you any title to the intellectual
  72.     property in the Software, and that you will not acquire
  73.     any rights to the Software except as expressly set forth
  74.     in this Agreement. You agree that any copies of the
  75.     Software and Documentation will contain the same
  76.     proprietary notices that appear on and in the Software
  77.     and Documentation.

  79. 4.  Restrictions. You may not rent, lease, loan or resell the
  80.     Software. You may not permit third parties to benefit from
  81.     the use or functionality of the Software via a timesharing,
  82.     service bureau or other arrangement, except to the extent
  83.     that the applicable product invoicing or packaging permits
  84.     such use. You may not transfer any of the rights granted to
  85.     you under this Agreement. You may not reverse engineer,
  86.     decompile, or disassemble the Software, except to the extent
  87.     that the foregoing restriction is expressly prohibited by
  88.     applicable law.  You may not modify, or create derivative
  89.     works based upon, the Software in whole or in part. You may
  90.     not copy the Software or Documentation except as expressly
  91.     permitted in Section 1 above. You may not remove any
  92.     proprietary notices or labels on the Software. All rights
  93.     not expressly set forth hereunder are reserved by Diamond
  94.     K Software. Diamond K Software reserves the right to
  95.     periodically conduct audits upon advance written notice to
  96.     verify compliance with the terms of this Agreement.

  99. 5.  Warranty Disclaimer. BECAUSE THIS IS AN EVALUATION COPY,
  100.     TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW THE
  101.     SOFTWARE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTY
  102.     OF ANY KIND, EXPRESS OR IMPLIED. WITHOUT LIMITING THE
  103.     FOREGOING PROVISIONS, YOU ASSUME RESPONSIBILITY FOR
  104.     SELECTING THE SOFTWARE TO ACHIEVE YOUR INTENDED RESULTS,
  105.     AND FOR THE INSTALLATION OF, USE OF, AND RESULTS OBTAINED
  106.     FROM THE SOFTWARE. WITHOUT LIMITING THE FOREGOING
  107.     PROVISIONS, DIAMOND K SOFTWARE MAKES NO WARRANTY THAT THE
  108.     SOFTWARE WILL BE ERROR-FREE OR FREE FROM INTERRUPTIONS OR
  109.     OTHER FAILURES, OR THAT THE SOFTWARE WILL MEET YOUR
  110.     REQUIREMENTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE
  111.     LAW, DIAMOND K SOFTWARE DISCLAIMS ALL WARRANTIES, EITHER
  112.     EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED
  113.     WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
  114.     PURPOSE, AND NONINFRINGEMENT WITH RESPECT TO THE SOFTWARE
  115.     AND THE ACCOMPANYING DOCUMENTATION.  SOME STATES AND
  116.     JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED
  117.     WARRANTIES, SO THE ABOVE LIMITATION MAY NOT APPLY TO
  118.     YOU. The foregoing provisions shall be enforceable to
  119.     the maximum extent permitted by applicable law.

  121. 6.  Limitation of Liability. UNDER NO CIRCUMSTANCES AND UNDER
  122.     NO LEGAL THEORY, WHETHER IN TORT, CONTRACT, OR OTHERWISE,
  123.     SHALL DIAMOND K SOFTWARE OR ITS SUPPLIERS BE LIABLE TO YOU
  124.     OR TO ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL,
  125.     INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER
  126.     INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL,
  127.     WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR FOR ANY
  128.     AND ALL OTHER DAMAGES OR LOSSES. IN NO EVENT WILL DIAMOND K
  129.     SOFTWARE BE LIABLE FOR ANY DAMAGES, EVEN IF DIAMOND K SOFTWARE
  130.     SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  131.     THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY
  132.     FOR DEATH OR PERSONAL INJURY TO THE EXTENT THAT APPLICABLE LAW PROHIBITS SUCH
  133.     LIMITATION. FURTHERMORE, SOME STATES AND JURISDICTIONS DO
  134.     NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
  135.     CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION
  136.     MIGHT NOT APPLY TO YOU. The foregoing provisions shall be
  137.     enforceable to the maximum extent permitted by applicable
  138.     law.

  141. 7.  The Software and accompanying  Documentation are deemed to
  142.     be "computer software" and "computer software documentation,"
  143.     respectively  Any use, modification, reproduction, release,
  144.     performance, display or disclosure of the Software and
  145.     accompanying Documentation shall be governed
  146.     solely by the terms of this Agreement and shall be prohibited
  147.     except to the extent expressly permitted by the terms of this
  148.     Agreement.

  151. 8. Miscellaneous. This Agreement is governed by the laws of
  152.     the United States and the State of Texas, without
  153.     reference to conflict of laws principles.  This
  154.     Agreement sets forth all rights for the user of the
  155.     Software and is the entire agreement between the parties.
  156.     This agreement supersedes any other communications with
  157.     respect to the Software and Documentation. This Agreement
  158.     may not be modified except by a written addendum issued
  159.     by a duly authorized representative of Diamond K Software.
  160.     No provision hereof shall be deemed waived unless such
  161.     waiver shall be in writing and signed by Diamond K Software
  162.     or a duly authorized representative of Diamond K Software.
  163.     If any provision of this Agreement is held invalid, the
  164.     remainder of this Agreement shall continue in full force
  165.     and effect. The parties confirm that it is their wish that
  166.     this Agreement has been written in the English language
  167.     only.
